Terms of Service

1. Introduction

These Terms of Service govern your use of the Copysplit platform, including our website, applications, APIs, and any related services (collectively, the “Service”). By accessing or using our services, you agree to be bound by these terms. If you do not agree to these terms, you may not access or use the Service.

Copysplit Inc (“Copysplit”, “we”, “us”, or “our”) reserves the right to update these terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect.

2. Definitions

The following definitions apply throughout these Terms of Service:

  • “Service” means the Copysplit platform, including all features, tools, APIs, and documentation provided by Copysplit.
  • “User” means any individual or entity that accesses or uses the Service, including account holders and invited team members.
  • “Account” means the registered account created by a User to access the Service.
  • “Content” means any text, copy, headlines, descriptions, or other written material created, uploaded, or managed through the Service.
  • “Pixel” means the JavaScript tracking code provided by Copysplit that is installed on Client Sites to collect anonymous behavioral data.
  • “Test” means an A/B or multivariate copy test created and managed through the Service.
  • “Client Site” means any website or web application where a User has installed the Copysplit Pixel to run Tests.

3. Account Terms

To use the Service, you must create an Account. By creating an Account, you represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction.
  • All information you provide during registration is accurate, complete, and current. You agree to update your information promptly if it changes.
  • You are responsible for maintaining the security of your Account credentials, including your password. You must notify us immediately of any unauthorized access to your Account.
  • Each Account is intended for use by a single individual. You may not share your Account credentials with others. Team access is available through our team invitation features.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Inject malicious code, malware, or any harmful scripts through the Copysplit Pixel or any other part of the Service.
  • Scrape, crawl, or use automated means to extract data from the Service beyond what is provided through our APIs.
  • Create misleading or deceptive Tests designed to trick or manipulate end users of Client Sites.
  • Install the Copysplit Pixel on or run Tests on websites or applications that you do not own or have authorization to manage.
  • Use the Service in any manner that violates applicable local, national, or international laws or regulations.

5. Subscription & Payment

The Service is offered through subscription plans billed on a monthly or annual basis. By subscribing, you agree to the following:

  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
  • Copysplit may change subscription prices with at least 30 days’ prior notice. Continued use after a price change constitutes acceptance of the new pricing.
  • Annual subscriptions are eligible for a pro-rata refund for the unused portion of the subscription period if cancelled within the first 30 days. Monthly subscriptions are non-refundable.
  • You are responsible for any applicable taxes associated with your subscription. Prices displayed may not include taxes, which will be calculated at checkout based on your location.

6. Intellectual Property

Copysplit owns all rights, title, and interest in and to the Service, including all software, designs, trademarks, and documentation. Nothing in these Terms grants you ownership of the Service or any of its components.

You retain ownership of all Content you create or upload through the Service. By using the Service, you grant Copysplit a limited, non-exclusive license to use, process, and display your Content solely for the purpose of providing and improving the Service.

Any feedback, suggestions, or ideas you provide about the Service become the property of Copysplit. We may use such feedback without restriction or obligation to you.

7. Data & Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Copysplit is committed to GDPR compliance. For enterprise customers requiring a formal Data Processing Agreement (DPA), please contact us at legal@copysplit.com.

8. Service Availability

Copysplit targets 99.9% uptime for the Service. However, we do not guarantee uninterrupted or error-free operation of the Service at all times.

Scheduled maintenance windows will be communicated in advance through the Service or via email. We will make reasonable efforts to minimize disruption during maintenance periods. Emergency maintenance may be performed without prior notice when necessary to protect the integrity or security of the Service.

9. Termination

Either party may terminate the subscription at any time. Upon termination:

  • Your data will remain available for export for 30 days following termination. After this period, your data will be permanently deleted.
  • Copysplit reserves the right to suspend or terminate your Account immediately and without notice if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that threatens the security or integrity of the platform.
  • You may request Account termination at any time through your Account settings or by contacting support.

10. Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Copysplit shall not be liable for any lost revenue, lost profits, or business losses arising from the results or outcomes of Tests conducted through the Service. Test results are provided for informational purposes and decisions based on those results are made at your own risk.

To the maximum extent permitted by law, Copysplit’s total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Copysplit in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of Dublin, Ireland.
